第1条（合意）/ Article 1. Agreement
1.1 本取引条件（以下「本条件」といいます）は、お客様（以下「お客様」といいます）と、株式会社中村格付研究所（以下「当社」といいます）との間の契約（以下「本契約」といいます）の一部を構成します。
1.1 These Terms and Conditions (“Terms”) form part of the agreement (“Agreement”) between the customer (“Customer”) and Naker Rating K.K. (“the Company”).
1.2 本契約の対象となるサービス（以下「本サービス」といいます）は、以下を含みますがこれに限られません。
1.2 The services covered by this Agreement (“Services”) include, but are not limited to, the following.
- 企業信用調査レポートの提供（国内外）
Provision of corporate credit research reports (domestic and international) - 財務分析・格付評価に関するデータ提供
Provision of data related to financial analysis and credit rating assessment - 当社が第三者と連携して提供するサービス（当該第三者の条件が適用される場合があります）
Services provided in partnership with third parties (the terms of such third parties may apply) - 与信管理、経済安全保障、安全保障貿易管理等に関するコンサルティング
Consulting related to credit management, economic security, and export control - セミナー講師
Seminar instruction
1.3 本契約は、注文書・発注書または申込フォームおよび本条件に基づく両者間の合意を示します。契約書に明記されていない当社の口頭説明や資料は、法的効力を持ちません。
1.3 The Agreement reflects the mutual understanding between the parties based on an order form, purchase order, or application form, together with these Terms. Verbal explanations or materials provided by the Company that are not expressly stated in the Agreement shall have no legal effect.
第2条（契約期間）/ Article 2. Term
2.1 本契約は、申込書に記載された開始日またはサービス開始日から有効となり、特に記載がない限り1年間継続します。
2.1 The Agreement takes effect on the start date stated in the application form or the date the Service commences, and continues for one year unless otherwise specified.
2.2 当社は、本サービスの内容、仕様、料金を変更し、または提供を終了する権限を有し、お客様はそれに事前に同意するものとします。これらの変更については、合理的な方法により通知します。
2.2 The Company reserves the right to change the content, specifications, or fees of the Services, or to discontinue them, and the Customer agrees to this in advance. The Company will provide reasonable notice of such changes.
第3条（料金と支払条件）/ Article 3. Fees and Payment Terms
3.1 お客様は、申込書または請求書に記載された金額を、原則として請求書発行日から30日以内に支払うものとします。
3.1 The Customer shall pay the amount stated in the application form or invoice, in principle within 30 days of the invoice date.
3.2 支払い遅延が発生した場合、年6%の遅延損害金が課される場合があります。
3.2 In the event of late payment, a late fee of 6% per annum may be charged.
3.3 支払遅延により発生する債権回収費用（弁護士費用等）は、お客様の負担とします。
3.3 Any costs incurred in collecting overdue payments (including attorney’s fees) shall be borne by the Customer.
第4条（知的財産）/ Article 4. Intellectual Property
4.1 本サービスを通じて提供される全てのデータ、レポート、分析結果に関する著作権および知的財産権は、当社に帰属します。
4.1 All copyrights and intellectual property rights in data, reports, and analysis results provided through the Services belong to the Company.
4.2 お客様は、本サービスの内容を無断で複製、改変、転用、再配布してはなりません。
4.2 The Customer may not reproduce, modify, repurpose, or redistribute the content of the Services without authorization.
4.3 お客様は、日本貿易保険（NEXI）その他の信用保険機関による保険審査申請の目的及び安全保障貿易管理を目的とした需要者要件の説明責任を履行する場合に限り、本サービスの内容を第三者（保険機関、行政機関）に開示できることに同意します。
4.3 The Customer agrees that disclosure of Service content to third parties (such as insurance institutions or government agencies) is permitted solely for the purpose of applying for insurance coverage through NEXI or other credit insurance bodies, or for fulfilling end-user accountability obligations under export control regulations.
第5条（機密保持）/ Article 5. Confidentiality
5.1 双方は、相手方の機密情報を第三者に開示してはならず、契約期間中および契約終了後も保持義務を負います。
5.1 Both parties shall not disclose the other party’s confidential information to any third party, and shall maintain such obligations during and after the term of the Agreement.
第6条（利用上の禁止事項）/ Article 6. Prohibited Conduct
6.1 お客様は以下の行為を行ってはなりません。
6.1 The Customer shall not engage in any of the following.
- サービス内容の複製・販売・貸与・公開
Reproducing, selling, lending, or publicly disclosing Service content - 自動収集ツール（スクレイピング等）の利用
Using automated data collection tools (e.g., scraping) - 当社の信用や名誉を毀損する行為
Any act that damages the reputation or honor of the Company
第7条（責任制限）/ Article 7. Limitation of Liability
7.1 本サービスの内容は正確性を期していますが、その完全性・正確性・適時性を保証するものではありません。
7.1 While the Company endeavors to ensure accuracy, it does not warrant the completeness, accuracy, or timeliness of Service content.
7.2 損害賠償責任が発生した場合、当社が受領した契約金額を上限とします。間接損害や逸失利益については一切責任を負いません。
7.2 Should any liability for damages arise, it shall be capped at the contract amount received by the Company. The Company accepts no liability for indirect damages or lost profits.
第8条（契約解除）/ Article 8. Termination
8.1 以下のいずれかに該当する場合、当社は契約を即時解除できます。
8.1 The Company may immediately terminate the Agreement in any of the following circumstances.
- 支払遅延が14日以上継続する場合
Payment is overdue by 14 days or more - 本条件に重大な違反があった場合
A material breach of these Terms has occurred
8.2 契約終了時には、お客様の利用権は消滅し、保有しているデータも削除していただく必要があります。
8.2 Upon termination, the Customer’s usage rights shall cease and the Customer must delete any data in their possession.
第9条（準拠法・管轄）/ Article 9. Governing Law & Jurisdiction
9.1 本契約の準拠法は日本法とし、横浜地方裁判所を第一審の専属的合意管轄裁判所とします。
9.1 This Agreement shall be governed by the laws of Japan, and the Yokohama District Court shall have exclusive jurisdiction as the court of first instance.
第10条（反社会的勢力の排除）/ Article 10. Exclusion of Antisocial Forces
10.1 お客様および当社は、暴力団等の反社会的勢力に該当しないことを保証し、将来もこれに関与しないことを確約します。
10.1 The Customer and the Company each warrant that they do not constitute antisocial forces such as organized crime groups, and pledge not to become involved with such forces in the future.
NRPD Web App 追加条項 / Additional Terms for NRPD Web App
以下の条項は、当社が提供するクラウドサービス「NRPD Web App」（以下「本アプリ」）の利用に適用されます。上記条項と本追加条項が抵触する場合、本アプリの利用については本追加条項が優先します。
The following terms apply specifically to the use of our cloud service “NRPD Web App” (“the App”). In the event of any conflict between the Terms above and these Additional Terms, these Additional Terms shall prevail with respect to use of the App.
第11条（対象サービスと利用資格）/ Article 11. Eligible Users & Territory
本アプリは、日本国および東南アジア諸国連合（ASEAN）加盟国の法人・事業者を対象とします。個人（消費者）のご利用はお断りします。EU・英国・米国・中国その他除外地域からのアクセスはご利用いただけません。
The App is available to corporations and business entities in Japan and ASEAN member states. Consumer use is not permitted. Access from the EU, UK, USA, China, or other excluded territories is not permitted.
第12条（プランと分析クレジット）/ Article 12. Plans & Analysis Credits
本アプリの利用はプラン制（Trial・Spot・Basic・Standard・Premium）です。各プランに付与される「分析クレジット」は、Resultページが表示されるたびに1クレジット消費されます。クレジットの繰越・払戻はありません。料金・クレジット数の詳細は特定商取引法に基づく表記をご参照ください。
The App operates on a plan-based system (Trial, Spot, Basic, Standard, Premium). One credit is consumed each time a Result page is displayed. Credits do not carry over and are non-refundable. For pricing details, please refer to the Specified Commercial Transactions Act Disclosure.
第13条（AI処理・外部送信）/ Article 13. AI Processing & External Transmission
「AI高精度解析」モード使用時のみ、アップロードPDFから抽出したテキスト断片が当社APIサーバー経由でAnthropic, Inc. へ送信されます。原本ファイルおよび財務数値はサーバーに永続保存しません。詳細は「外部送信について」ページをご参照ください。
Only when the “AI High-Accuracy Analysis” mode is selected: text fragments extracted from uploaded PDFs are transmitted via our API server to Anthropic, Inc. Original files and financial data are not persistently stored on our servers. See the External Data Transmissions page for details.
第14条（分析結果の性質・免責）/ Article 14. Nature of Results & Disclaimer
本アプリの分析結果は与信判断を補助する参考情報であり、最終的な与信・投資・融資・法的判断を保証するものではありません。当社の損害賠償責任は当該月の利用料金を上限とします（故意・重過失の場合を除く）。
Analysis results are provided as reference information to assist credit assessments and do not constitute a guarantee for any credit, investment, lending, or legal decisions. Our liability is capped at the monthly fee for the month in which the event occurred, except in cases of willful misconduct or gross negligence.
第15条（返金）/ Article 15. Refunds
決済完了後の返金は原則として行いません。本アプリの重大な障害に起因する場合は個別対応いたします。
